Please read these Terms carefully. They govern access to and use of coachparin AI, an AI-powered coaching experience made available by Nuggt LLP (UEN T25LL0169A) (“Nuggt”) and associated with coachparin EXECUTIVE COACHING (coaching brand; contact c/o Nuggt LLP, 39 Woodlands Close #08-61D, MEGA@WOODLANDS, Singapore 737856) (“coachparin”). coachparin AI is an automated software service. It is not the coach behind coachparin personally, is not a live communication from him, and is not individually reviewed or approved by him unless the Service expressly states otherwise.
By selecting “I agree,” creating an account, purchasing the Service, or accessing or using the Service after being shown these Terms, you agree to these Terms and the Privacy Notice. If you do not agree, do not access or use the Service.
These Terms do not exclude or limit any liability, right or remedy that cannot lawfully be excluded or limited.
1. Definitions
In these Terms:
- “AI Output” means any text, audio, image, recommendation, question, summary or other content generated by the Service.
- “coachparin Materials” means coaching content, frameworks, methods, exercises, trademarks, branding, recordings, written materials, training content and other intellectual property supplied, licensed or authorised by coachparin.
- “Nuggt” means Nuggt LLP, the operator responsible for operating, hosting, administering and supporting the Service.
- “coachparin Persona” means the AI-generated persona, style, approach or representation associated with the coach behind coachparin and coachparin Materials.
- “Service” means coachparin AI and all related software, websites, applications, features, content and support made available by or on behalf of Nuggt.
- “User,” “you” or “your” means the individual or legal entity accessing or using the Service.
- “User Content” means prompts, messages, voice recordings, files, documents, feedback and other material submitted to or generated through the Service, excluding the Service, coachparin Materials and underlying models.
Unless the context requires otherwise, references to “Nuggt and coachparin” mean each entity only to the extent of that entity’s respective role under these Terms. coachparin does not operate, host, monitor or individually review the Service unless expressly stated.
2. Contracting parties and allocation of roles
2.1 Nuggt as operator
Nuggt provides and operates the Service, including its software, hosting, account administration, technical support, payment processing and third-party technology integrations.
2.2 coachparin as content and brand partner
coachparin owns or controls, or is authorised to license, certain coachparin Materials and the associated coaching brand and approach. coachparin does not personally provide an individual coaching session through the Service, does not individually review or approve each AI Output, and is not responsible for the operation, availability, security or technical performance of the Service except to the extent required by applicable law or expressly agreed in writing.
2.3 No personal contracting role for the coach behind coachparin
The coach behind coachparin is not a party to these Terms merely because his name, materials, likeness, coaching approach or persona are associated with the Service. He does not personally provide the Service, give individual advice through the Service, or assume responsibility for individual AI Outputs unless a separate written agreement expressly provides otherwise.
3. Eligibility and authority
You must be at least 18 years old and legally capable of entering into a binding contract.
The Service is not intended for children or for use by anyone who cannot understand these Terms.
If you use the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation. The organisation is responsible for its users, account access, payment obligations and compliance with these Terms.
You must keep account credentials secure and must promptly notify Nuggt of unauthorised access.
4. Nature of the Service
coachparin AI is an automated AI coaching and reflection tool based in part on coachparin Materials and the coachparin Persona. The Service may support reflection, learning, decision-making and personal or professional development.
The Service is not a live session with the coach behind coachparin, is not a substitute for a qualified coach or professional, and does not create a coach-client, fiduciary, therapeutic, medical, legal, financial-adviser or other regulated professional relationship.
AI Outputs may be inaccurate, incomplete, outdated, biased, generic, inconsistent, offensive, unsuitable or inappropriate for your circumstances. AI may produce information that appears confident but is wrong. You must independently verify important information before relying on it.
5. No professional, medical or emergency advice
The Service is for general education, reflection and personal or professional development only. It is not legal, medical, psychiatric, psychological, mental-health, tax, accounting, investment, insurance, financial, employment, immigration or other regulated professional advice.
The Service does not diagnose, treat, prevent or manage any medical or mental-health condition and must not be used to determine medication, treatment, investment transactions, legal strategy, emergency action or other high-consequence decisions.
Do not use the Service as a substitute for a qualified professional who knows your circumstances. Obtain professional advice before acting on information involving health, safety, law, finance, tax, employment, investment or other significant consequences.
6. Emergencies and vulnerable situations
The Service is not an emergency, crisis, safeguarding or suicide-prevention service and is not continuously monitored by a human. Do not use it if you or another person is in immediate danger.
In an emergency, contact local emergency services or a qualified crisis, medical or mental-health service immediately. Do not rely on the Service to identify, assess or respond to an emergency.
The Service may provide a general safety message when certain risk indicators are detected, but detection may fail and any message may be delayed, incomplete or unsuitable. Nuggt and coachparin do not guarantee that the Service will identify or prevent harm.
You must not use the Service to provide professional services to another person unless you are appropriately qualified, supervised and legally authorised to do so.
7. Appropriate use of User Content
Do not submit:
- information about another person unless you are authorised to do so;
- information that you are not legally entitled to share;
- trade secrets, privileged material or highly confidential business information;
- payment-card numbers, passwords, authentication credentials or government identification numbers; or
- information that you are not willing to have processed in accordance with the Privacy Notice.
You are responsible for the legality, accuracy and appropriateness of User Content and for obtaining all notices, permissions and consents required before submitting it.
8. Privacy and personal data
The Service may collect and process account information, prompts, messages, voice recordings, transcripts, uploaded content, device and usage information, technical logs, feedback and information inferred from use of the Service.
Nuggt may use hosting, AI-processing, transcription, analytics, security, customer-support, payment and other technology providers to provide the Service. The applicable purposes, categories of data, retention periods, transfers, safeguards, user rights and provider arrangements are described in the Privacy Notice.
You acknowledge that coaching conversations may contain sensitive personal information.
You should not submit information you do not want processed by the Service and its authorised providers.
Nuggt will process personal data in accordance with applicable data-protection law and the Privacy Notice. Where a separate written data-processing agreement applies, that agreement controls to the extent of any inconsistency.
The Service must not be configured or marketed as confidential or privileged unless a separate written arrangement expressly provides that protection. Nuggt and coachparin may access or disclose User Content where reasonably required to provide, secure, support, investigate, improve or comply with law in accordance with the Privacy Notice.
9. AI processing and service providers
Nuggt may use third-party AI models, hosting providers, transcription providers, analytics providers, payment processors and other vendors. Nuggt may replace or add providers provided that the Service and Privacy Notice remain compliant with applicable law.
AI Output may be generated or processed outside your country. You consent to processing and transfers as described in the Privacy Notice, subject to any mandatory requirements of applicable law.
Nuggt is responsible for selecting and managing providers to the extent required by applicable law. coachparin and the coach behind coachparin are not responsible for the acts or omissions of Nuggt’s technology providers, except to the extent liability cannot lawfully be excluded or limited.
10. User Content licence
You retain ownership of User Content that you submit, subject to the rights granted in this section.
You grant Nuggt and its authorised service providers a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, process, adapt and display User Content solely as reasonably necessary to provide, secure, support, troubleshoot and administer the Service, and for the additional purposes disclosed in the Privacy Notice.
You grant Nuggt a licence to use feedback, suggestions and feature requests without restriction or payment, provided that Nuggt does not identify you publicly without your consent.
Nuggt may create and use de-identified or aggregated information for analytics, security, research, service improvement and business purposes where permitted by applicable law and the Privacy Notice. Nuggt must not use identifiable coaching conversations to train a third-party model unless that use is clearly disclosed and permitted by applicable law.
11. Intellectual property
The Service, software, system design, prompts, interfaces, documentation, AI configuration, trademarks, branding and coachparin Materials are owned by or licensed to Nuggt, coachparin or their respective licensors. All rights not expressly granted are reserved.
Subject to these Terms and payment of applicable fees, Nuggt grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes.
You must not:
- copy, reproduce, publish, sell, rent, sublicense or commercially exploit the Service or coachparin Materials;
- extract, scrape, reverse engineer or attempt to discover source code, system prompts, model configuration or non-public safety controls;
- use the Service to create a competing coaching product or persona;
- remove proprietary notices;
- use the name, likeness, voice, biography or brand of the coach behind coachparin to imply that an AI Output was personally written, reviewed or approved by that coach; or
- use AI Outputs to train, fine-tune or develop another model or service without written permission.
Unless expressly stated otherwise, AI Outputs are provided for your use subject to the rights of third parties and any restrictions imposed by the underlying AI model provider. Nuggt does not guarantee that every AI Output is unique or suitable for commercial publication.
12. Prohibited conduct
You must not use the Service to:
- violate law or regulation;
- infringe, misappropriate or violate another person’s rights;
- submit personal data without authority;
- impersonate the coach behind coachparin, Nuggt, coachparin or another person;
- create or distribute fraudulent, abusive, threatening, discriminatory or harmful content;
- facilitate self-harm, violence, exploitation, abuse, fraud or illegal activity;
- bypass safeguards, rate limits, authentication or access controls;
- interfere with security, availability or integrity;
- scrape, crawl, harvest or systematically extract content;
- provide professional advice to others without appropriate qualifications and supervision; or
- test, benchmark or publicise vulnerabilities without prior written authorisation.
13. Monitoring, moderation and suspension
Nuggt may use automated systems and, where reasonably necessary, authorised personnel to monitor or review activity for security, abuse prevention, quality assurance, legal compliance, customer support and safety, subject to the Privacy Notice.
Nuggt may suspend, restrict or terminate access without liability where it reasonably believes that you have breached these Terms, created a risk to users or third parties, threatened security or availability, failed to pay, or where suspension is necessary to comply with law or protect the Service.
Where reasonably practicable, Nuggt will provide notice and an opportunity to remedy the breach. This is not required where urgent action is necessary.
14. Fees, purchases and refunds
Prices, taxes and purchase terms are displayed before you buy. Minute packs are one-time purchases and do not renew automatically. You authorise the applicable payment provider to charge the displayed total when you confirm a purchase.
Refunds are governed by the Purchases & refunds policy displayed at purchase, subject to any mandatory consumer rights. Nothing in these Terms excludes a refund or remedy that cannot lawfully be excluded.
15. Availability and changes
Nuggt may modify, suspend or discontinue all or part of the Service, including features, models, providers, content and access limits, for operational, security, legal or commercial reasons.
Nuggt does not guarantee uninterrupted, secure, error-free or permanently available access. Planned or emergency maintenance may affect availability.
Nuggt will use reasonable efforts to maintain the Service and to give reasonable notice of material changes where practicable. coachparin does not guarantee the availability, continuity or performance of the Service.
16. Disclaimers
To the maximum extent permitted by applicable law, the Service and AI Outputs are provided “as is” and “as available.” Nuggt and coachparin disclaim all warranties, representations and conditions not expressly stated in these Terms, including warranties of accuracy, completeness, fitness for a particular purpose, merchantability, non-infringement, reliability, availability and suitability for your circumstances.
Neither Nuggt nor coachparin warrants that:
- the Service will meet your requirements;
- AI Outputs will be accurate, complete, current, safe or suitable;
- the Service will be uninterrupted, secure or error-free;
- defects will be corrected; or
- any business, financial, career, personal, coaching or other outcome will result.
You are responsible for independently evaluating AI Outputs and for all decisions, actions and outcomes arising from your use of the Service.
17. Liability
17.1 Non-excludable liability
Nothing in these Terms excludes or limits liability to the extent that it cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory rights and remedies under applicable law.
17.2 Allocation of reliance risk
Subject to section 17.1, Nuggt and coachparin are not liable for loss arising solely from your decision to rely on an AI Output or to act or fail to act after using the Service, where that loss was not caused by the relevant party’s breach of these Terms, negligence, wilful misconduct, misleading representation or breach of applicable law.
17.3 Excluded loss
Subject to section 17.1 and to the extent permitted by applicable law, Nuggt and coachparin are not liable for indirect or consequential loss, loss of profits, revenue, anticipated savings, goodwill, reputation, business opportunity, data or business interruption.
This exclusion does not apply to the extent that applicable law prohibits it or to any refund or remedy that cannot lawfully be excluded.
17.4 Liability cap
Subject to sections 17.1 and 17.5, the aggregate liability of Nuggt arising out of or relating to the Service will not exceed the greater of:
- the amount you paid to Nuggt for the Service during the six months before the event giving rise to the claim; or
- SGD 500.
Subject to sections 17.1 and 17.5, the aggregate liability of coachparin arising out of or relating to coachparin Materials or the coachparin Persona will not exceed the greater of:
- the amount, if any, you paid specifically for coachparin Materials during the six months before the event giving rise to the claim; or
- SGD 500.
The applicable cap applies in aggregate to all claims arising from the same event or circumstances, whether in contract, tort, negligence, statute or otherwise.
17.5 Carve-outs
Sections 17.2 to 17.4 do not limit liability to the extent that doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability that applicable law does not permit to be limited.
17.6 Separate roles
To the maximum extent permitted by law, no claim relating solely to the operation, hosting, technical performance, data processing, billing or availability of the Service will be brought against coachparin or the coach behind coachparin where the relevant act or omission was solely that of Nuggt or its service providers. Similarly, no claim relating solely to coachparin Materials or the coachparin Persona will be attributed to Nuggt where the relevant act or omission was solely that of coachparin or its licensors.
This section does not exclude liability that cannot lawfully be excluded and does not prevent a party from being joined to proceedings where required by law.
18. Indemnity
To the maximum extent permitted by applicable law, you will indemnify and hold harmless Nuggt, coachparin, the coach behind coachparin and their respective officers, employees, contractors, licensors and service providers from claims, losses, liabilities, damages, costs and reasonable legal fees arising out of or relating to:
- your breach of these Terms;
- your User Content;
- your unlawful or unauthorised use of the Service;
- your infringement or violation of another person’s rights; or
- your use of the Service to provide advice or services to another person without appropriate qualifications, authority or supervision.
This indemnity does not apply to the extent a claim was caused by the indemnified party’s own fraud, wilful misconduct, negligence or breach of applicable law, and it does not impose on a consumer an indemnity that applicable law prohibits.
The indemnified party must give reasonably prompt notice of a claim, provide reasonable cooperation at the indemnifying party’s cost, and allow the indemnifying party to control the defence and settlement, provided that no settlement may admit fault, impose non-monetary obligations or affect the indemnified party without its consent.
19. Complaints and safety reports
Report technical, legal, privacy or safety concerns to support@nuggt.io. Include the relevant account, date, prompt or response where safe and lawful to do so.
Do not use this reporting channel for emergencies. Contact local emergency services or an appropriate emergency or crisis service instead.
20. Third-party services and links
The Service may depend on or link to third-party services. Nuggt and coachparin do not control and are not responsible for third-party services except to the extent required by applicable law. Third-party services may impose additional terms and privacy practices.
21. Changes to these Terms
Nuggt may update these Terms to reflect changes in the Service, law, security, operations or business arrangements. Material changes will be notified by reasonable means where practicable. The updated Terms will state their effective date.
If you do not agree to an updated version, you must stop using the Service. Continued use after the effective date constitutes acceptance of the updated Terms, subject to any mandatory notice or consent requirement.
22. Termination and surviving provisions
You may stop using the Service at any time. Nuggt may terminate or suspend access under section 13 or where the Service is discontinued.
Sections concerning intellectual property, User Content, privacy, payment obligations, disclaimers, liability, indemnity, dispute resolution and any provisions intended by their nature to survive will continue after termination.
23. Governing law and jurisdiction
These Terms are governed by the laws of Singapore, excluding conflict-of-law principles.
The courts of Singapore will have exclusive jurisdiction, subject to any mandatory consumer, privacy, personal-injury or other rights and remedies available under the law that applies to you.
24. General terms
If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in effect.
A failure to enforce a provision is not a waiver of the right to enforce it later.
You may not assign or transfer your rights or obligations under these Terms without Nuggt’s prior written consent. Nuggt may assign or transfer these Terms as part of a merger, reorganisation, sale of assets or transfer of the Service, provided that doing so does not reduce mandatory user rights. coachparin may assign its rights relating to coachparin Materials to a successor or affiliate.
These Terms, the applicable purchase terms, the Privacy Notice and any documents expressly incorporated by reference form the entire agreement concerning the Service, subject to any separate written agreement signed by the relevant parties.
If there is a conflict, the following order applies: (1) a signed written agreement; (2) mandatory applicable law; (3) any applicable data-processing agreement; (4) the Privacy Notice for privacy matters; (5) these Terms; and (6) a purchase page for commercial matters.
